1. Agreement to Terms

By accessing or using the OMAA LLC ("OMAA," "we," "us," or "our") website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

We reserve the right to modify these Terms at any time. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

2. Description of Services

OMAA provides an online platform that connects families seeking childcare services with experienced caregivers. Our services include:

  • Caregiver matching and recommendation services
  • Background verification and screening of caregivers
  • Parenting support and guidance resources
  • Communication facilitation between families and caregivers
  • Administrative and support services

OMAA is a platform service. We facilitate connections but are not an employment agency and do not employ caregivers.

3. User Eligibility and Accounts

3.1 Eligibility

You must be at least 18 years old to use our services. By using our services, you represent that you are of legal age.

3.2 Account Creation

You may be required to create an account to access certain features. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. User Responsibilities and Conduct

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Provide false or misleading information
  • Impersonate any person or entity
  • Use our services to engage in any illegal activity
  • Harass, abuse, or harm other users or caregivers
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our services
  • Violate any applicable laws or regulations
  • Circumvent our platform to conduct direct arrangements without proper authorization

5. Caregiver Relationships

5.1 Independent Contractors

Caregivers on our platform are independent contractors. OMAA does not employ caregivers and is not responsible for:

  • Employment-related obligations (wages, taxes, benefits, etc.)
  • Worker's compensation or unemployment insurance
  • The actions or omissions of caregivers
  • The quality of care provided by caregivers

5.2 Your Responsibilities as a Family

When engaging a caregiver, you are responsible for:

  • Conducting your own due diligence and interviews
  • Verifying credentials and references
  • Establishing employment terms and compensation
  • Complying with all applicable employment laws
  • Ensuring a safe working environment
  • Managing the caregiver relationship directly

6. Background Checks and Verification

While we conduct background checks and verification of caregivers, we cannot guarantee:

  • The accuracy or completeness of background check results
  • That caregivers will perform as expected
  • The suitability of any particular caregiver for your needs

You acknowledge that background checks have limitations and agree to conduct your own assessment.

7. Fees and Payment

7.1 Service Fees

You agree to pay all fees associated with your use of our services. All fees are:

  • Non-refundable (see our Return Policy)
  • Charged in accordance with the pricing displayed at the time of purchase
  • Subject to change with notice

7.2 Payment Processing

Payments are processed through third-party payment processors. You agree to their terms and conditions. We do not store your complete payment information.

7.3 Late Payments

Failure to pay fees may result in suspension or termination of your account and access to services.

8. Intellectual Property

All content, features, and functionality of our services are owned by OMAA LLC and are protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or create derivative works
  • Reproduce or distribute our content without permission
  • Use our trademarks or branding without authorization
  • Reverse engineer or attempt to extract source code

9. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy. By using our services, you consent to our Privacy Policy.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMAA LLC SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, data, or goodwill
  • The conduct or actions of caregivers or other users
  • Any harm or injury resulting from caregiver services
  • Interruption or termination of services

Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless OMAA LLC, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including attorneys' fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your relationship with any caregiver

12. Termination

We reserve the right to suspend or terminate your account and access to our services at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use our services immediately ceases
  • You remain liable for all outstanding fees
  • No refunds will be issued
  • We may delete your account and data

13. Dispute Resolution

13.1 Informal Resolution

If you have a dispute with us, please contact us at support@omaa.mom to attempt to resolve it informally.

13.2 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You waive your right to a jury trial or to participate in a class action.

13.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where OMAA LLC is registered, without regard to conflict of law principles.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Return Policy, constitute the entire agreement between you and OMAA LLC.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
